Terms & Conditions

1. Acceptance of terms

These Terms & Conditions (the "Terms") form a binding agreement between you or the organisation you represent ("Customer", "you") and Renaiss AI ("Renaiss", "we", "us"). By accessing our website or using any Renaiss product or service (the "Services"), you confirm that you have read, understood and accepted these Terms.

Where a separate master services agreement or order form has been signed between Renaiss and your organisation, that agreement prevails over these Terms to the extent of any conflict.

2. The Services

Renaiss provides enterprise AI software, including the RenBase, RenLayer and RenFoundry technologies, together with related deployment, support and professional services. We may update, improve or modify the Services from time to time, provided that we do not materially reduce their core functionality during a paid subscription term.

3. Accounts and access

You are responsible for maintaining the confidentiality of any credentials issued to you and for all activity that occurs under your account. You must notify us promptly of any unauthorised use. Access is granted on a per-user basis and may not be shared except as expressly permitted in your order form.

4. Acceptable use

You agree not to:

• Use the Services in breach of applicable law or third-party rights.
• Reverse engineer, decompile or attempt to extract the source code of the Services, except where permitted by law.
• Introduce malicious code or interfere with the integrity or performance of the Services.
• Use the Services to build a competing product or to generate unlawful, infringing or harmful content.

5. Intellectual property

Renaiss and its licensors retain all right, title and interest in the Services, including all software, models and documentation. You retain all rights in the data and content you provide. You grant Renaiss a limited licence to process your data solely to provide and support the Services, as further described in our Data Protection Agreement.

6. Fees and payment

Fees are set out in the applicable order form. Unless stated otherwise, fees are exclusive of taxes and payable within 30 days of invoice. Late payment may result in suspension of the Services after reasonable notice.

7. Confidentiality

Each party will protect the other's confidential information with the same care it uses for its own, and at least reasonable care, and will use it only to perform under these Terms. This obligation does not apply to information that is public, independently developed or lawfully received from a third party.

8. Warranties and disclaimers

We warrant that the Services will be provided with reasonable skill and care. Except as expressly stated, the Services are provided "as is" and we disclaim all other warranties to the maximum extent permitted by law. AI-generated output may contain errors and should be reviewed by a qualified human before reliance.

9. Limitation of liability

To the extent permitted by law, neither party is liable for indirect or consequential loss, and each party's total liability arising out of these Terms is limited to the fees paid or payable in the 12 months preceding the claim. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited by law.

10. Term and termination

These Terms apply for as long as you use the Services. Either party may terminate for material breach not remedied within 30 days of notice. On termination, your right to use the Services ends and we will return or delete your data in accordance with the Data Protection Agreement.

11. Governing law

These Terms are governed by the laws of Spain, and the courts of Madrid have exclusive jurisdiction, without prejudice to any mandatory consumer protection rights you may have.
